平頂山市人民政府關于進一步推動平頂山市市屬功能類國有企業高質量發展的意見(平政〔2020〕22號)

各縣(市、區(qu)(qu))人民政府(fu),城鄉一體化示范區(qu)(qu)、高新區(qu)(qu)管委會,市人民政府(fu)各部門:

為進(jin)一步(bu)促進(jin)市屬功能類國(guo)(guo)有(you)企(qi)業高(gao)質量發展,做(zuo)強做(zuo)優做(zuo)大(da)國(guo)(guo)有(you)資(zi)本,充分發揮(hui)功能類國(guo)(guo)有(you)企(qi)業在推動我市重(zhong)大(da)基(ji)礎設(she)施建設(she)、戰(zhan)略性新興產(chan)業和(he)現代服務業發展的重(zhong)要作(zuo)用,根(gen)據《中華(hua)人(ren)民共和(he)國(guo)(guo)公司法(fa)》、《中華(hua)人(ren)民共和(he)國(guo)(guo)企(qi)業國(guo)(guo)有(you)資(zi)產(chan)法(fa)》、《企(qi)業國(guo)(guo)有(you)資(zi)產(chan)監督管理暫行(xing)條例》(國(guo)(guo)務院令第378號)和(he)《河(he)南省(sheng)財政(zheng)廳關于完善(shan)功能類公益類國(guo)(guo)有(you)企(qi)業公司治理推動企(qi)業高(gao)質量發展的意(yi)見》(豫(yu)財企(qi)管〔2019〕15號)等規定,結合我市實際,現提(ti)出如(ru)下意(yi)見。

一、加強(qiang)企業戰略規劃(hua)和重大事項(xiang)管(guan)理

(一)明(ming)確功能定位

市(shi)(shi)(shi)屬(shu)功(gong)(gong)能類國(guo)(guo)有企(qi)業以保證國(guo)(guo)民經(jing)濟運(yun)行為主要目(mu)標,促進公(gong)共(gong)資(zi)(zi)源配置市(shi)(shi)(shi)場化(hua),重點發(fa)展前瞻性戰略性產業,實現經(jing)濟效益和社會效益有機統一。平(ping)(ping)(ping)頂(ding)山(shan)(shan)(shan)(shan)發(fa)展投(tou)(tou)資(zi)(zi)控股集團(tuan)有限(xian)(xian)(xian)公(gong)司、平(ping)(ping)(ping)頂(ding)山(shan)(shan)(shan)(shan)市(shi)(shi)(shi)融(rong)城(cheng)發(fa)展投(tou)(tou)資(zi)(zi)集團(tuan)有限(xian)(xian)(xian)公(gong)司、平(ping)(ping)(ping)頂(ding)山(shan)(shan)(shan)(shan)市(shi)(shi)(shi)財信投(tou)(tou)資(zi)(zi)有限(xian)(xian)(xian)責任(ren)(ren)公(gong)司、平(ping)(ping)(ping)頂(ding)山(shan)(shan)(shan)(shan)交(jiao)通建設投(tou)(tou)資(zi)(zi)有限(xian)(xian)(xian)公(gong)司、平(ping)(ping)(ping)頂(ding)山(shan)(shan)(shan)(shan)市(shi)(shi)(shi)興城(cheng)城(cheng)市(shi)(shi)(shi)建設有限(xian)(xian)(xian)責任(ren)(ren)公(gong)司、平(ping)(ping)(ping)頂(ding)山(shan)(shan)(shan)(shan)市(shi)(shi)(shi)文化(hua)旅(lv)游投(tou)(tou)資(zi)(zi)有限(xian)(xian)(xian)公(gong)司、平(ping)(ping)(ping)頂(ding)山(shan)(shan)(shan)(shan)尼龍(long)城(cheng)建設投(tou)(tou)資(zi)(zi)有限(xian)(xian)(xian)公(gong)司屬(shu)于(yu)市(shi)(shi)(shi)屬(shu)功(gong)(gong)能類國(guo)(guo)有企(qi)業(以下(xia)簡(jian)稱企(qi)業)。

平頂山(shan)發(fa)展(zhan)(zhan)(zhan)投(tou)資(zi)(zi)(zi)控(kong)股(gu)集團有限公司主要(yao)負責城市重(zhong)大基(ji)礎設(she)施建設(she)、民生(sheng)保障項目(mu)投(tou)資(zi)(zi)(zi)、片區開發(fa)、大數(shu)據產業發(fa)展(zhan)(zhan)(zhan)、城區土地一級(ji)開發(fa)整理(li)、房地產開發(fa)等,開展(zhan)(zhan)(zhan)資(zi)(zi)(zi)產管理(li)、引導基(ji)金(jin)、股(gu)權投(tou)資(zi)(zi)(zi)、債券發(fa)行等工作。

平頂山市融城(cheng)發(fa)(fa)(fa)展(zhan)投(tou)資集團有(you)限公(gong)司主要負責債券(quan)發(fa)(fa)(fa)行、棚戶區改造、保障(zhang)性住房、場館等城(cheng)市基礎(chu)設施(shi)投(tou)資建設與(yu)運營,片(pian)區開發(fa)(fa)(fa),房地產開發(fa)(fa)(fa)與(yu)經(jing)營。

平頂(ding)山(shan)市財信投(tou)資(zi)(zi)有限責任公(gong)司主要負責融資(zi)(zi)擔(dan)保、資(zi)(zi)產管理,承擔(dan)戰略(lve)性新興產業(ye)(ye)、醫療、衛(wei)生、教育、體育、農業(ye)(ye)、林(lin)業(ye)(ye)、水(shui)利及(ji)環境(jing)保護等領(ling)域(yu)的投(tou)資(zi)(zi)建設與運營,對(dui)接全市各級各類產業(ye)(ye)基金,開展股(gu)權投(tou)資(zi)(zi)、投(tou)資(zi)(zi)咨(zi)詢(xun)等。

平頂(ding)山(shan)交通建設投資(zi)(zi)有(you)限公司主要負責全市(shi)公路、鐵路、水運、航(hang)空(kong)、交通樞紐、場站(zhan)等交通基礎(chu)設施項目及運輸業、交通物流業、交通新能源等領域的投資(zi)(zi)建設與(yu)運營。

平(ping)頂山市興城城市建(jian)設有限責任(ren)公司主要負責湛河(he)治理后湛河(he)管(guan)理經營(ying)、城市基礎設施投資建(jian)設與運營(ying)、公用(yong)事(shi)業(ye)特許經營(ying)產業(ye)等。

平(ping)頂山(shan)市文化旅游(you)投資有限公司(si)主要從(cong)事(shi)文化、旅游(you)、創意等產業領域的投資、項目建設和運營管理。

平頂山尼龍城建(jian)設(she)投資(zi)(zi)有(you)限公司(si)主要負責平頂山尼龍新材料產業集聚區開(kai)發建(jian)設(she)的融(rong)資(zi)(zi)、投資(zi)(zi)、資(zi)(zi)本運(yun)作及基礎設(she)施的建(jian)設(she)、運(yun)營(ying)、管(guan)理(li)等(deng)。

各企(qi)業(ye)要(yao)進一(yi)步(bu)強(qiang)化功(gong)能定(ding)位,突出主業(ye),制定(ding)本企(qi)業(ye)發(fa)展戰略、三年中期規劃、機構設置方(fang)案(an)、管理人員配備(bei)方(fang)案(an),報市(shi)財政(zheng)局(ju)(國(guo)有(you)資產監督(du)管理局(ju))審核(he)備(bei)案(an)。

平頂山市(shi)深化(hua)政(zheng)府投融(rong)資公(gong)司改(gai)革決(jue)策(ce)委(wei)員(yuan)會辦公(gong)室統籌(chou)協調我市(shi)企業的管理工作。

(二)規范公司章程

國(guo)有(you)(you)獨資公司(si)(si)董事會擬定(ding)公司(si)(si)章(zhang)程草案,報市財政局(ju)(國(guo)有(you)(you)資產監督(du)管(guan)理局(ju))修改(gai)、審(shen)定(ding)。國(guo)有(you)(you)控股(gu)(gu)公司(si)(si)章(zhang)程草案在股(gu)(gu)東(大)會表決(jue)前,提前15個工作日報市財政局(ju)(國(guo)有(you)(you)資產監督(du)管(guan)理局(ju))初審(shen),審(shen)核意見授權給股(gu)(gu)東代表并反饋給企(qi)業,經(jing)股(gu)(gu)東(大)會通過(guo)后生效。企(qi)業應制(zhi)定(ding)黨(dang)委(支委)會、董事會、監事會、經(jing)理層(ceng)議事規則,報市財政局(ju)(國(guo)有(you)(you)資產監督(du)管(guan)理局(ju))備案。

(三)規(gui)范重(zhong)大事項管理(li)

出資人依法依規(gui)審批(pi)重大事項(xiang)。國(guo)有獨資公(gong)司的(de)分(fen)(fen)立、合并(bing)、破產、解散、改制(zhi)、增(zeng)減資本(ben)、發行債券、分(fen)(fen)配利潤等重大事項(xiang),由(you)市財政(zheng)局(ju)(ju)(國(guo)有資產監督管(guan)理局(ju)(ju))決定(ding)。國(guo)有控股公(gong)司涉及上述重大事項(xiang)的(de),依照法律法規(gui)和公(gong)司章(zhang)程規(gui)定(ding),由(you)公(gong)司股東(大)會或(huo)董事會決定(ding)。需要報市政(zheng)府批(pi)準的(de)由(you)市財政(zheng)局(ju)(ju)(國(guo)有資產監督管(guan)理局(ju)(ju))負責報送(song)。

企業應加強重大(da)決(jue)策(ce)、重要人事任免、重大(da)項(xiang)目安排和大(da)額度(du)資(zi)(zi)金(jin)運作(zuo)事項(xiang)管理(li)制度(du)建(jian)設,嚴格執行“三重一大(da)”決(jue)策(ce)制度(du)。企業針對內部決(jue)策(ce)的重大(da)投資(zi)(zi)、擔保、產(chan)權轉讓、資(zi)(zi)產(chan)處置、捐贈等關系出資(zi)(zi)人權益(yi)的重大(da)事項(xiang),應制定內部管理(li)制度(du),報市財政(zheng)局(國有資(zi)(zi)產(chan)監督管理(li)局)備案。

二、加強(qiang)企業國有(you)資產監管

(四)加強產權登記管理

企(qi)業(ye)及其子公司在設(she)立、變(bian)動或注銷時,應于(yu)30日內由企(qi)業(ye)統一(yi)向市財政局(ju)(國有資產監督管(guan)理(li)(li)局(ju))申請辦理(li)(li)相應的占(zhan)有、變(bian)動或注銷產權登(deng)(deng)記;應于(yu)每一(yi)年(nian)度(du)終了后90日內,完成本企(qi)業(ye)及其子公司上(shang)年(nian)度(du)產權登(deng)(deng)記情(qing)況的檢查工(gong)作(zuo),并將檢查結(jie)果書面報告(gao)市財政局(ju)(國有資產監督管(guan)理(li)(li)局(ju))。

(五)加強國有(you)資產評估管理(li)

國(guo)有(you)資產(chan)評估項(xiang)目實(shi)(shi)施(shi)(shi)核(he)(he)準(zhun)(zhun)和(he)備(bei)案管(guan)理(li),對于經(jing)市政府(fu)批準(zhun)(zhun)實(shi)(shi)施(shi)(shi)的(de)(de)重(zhong)大經(jing)濟(ji)事項(xiang)涉(she)及的(de)(de)國(guo)有(you)資產(chan)評估項(xiang)目,由企業向市財(cai)政局(國(guo)有(you)資產(chan)監督管(guan)理(li)局)申(shen)請(qing)核(he)(he)準(zhun)(zhun)。其他國(guo)有(you)資產(chan)評估項(xiang)目實(shi)(shi)施(shi)(shi)備(bei)案管(guan)理(li),備(bei)案工作實(shi)(shi)行分級管(guan)理(li)。企業應在評估報(bao)告(gao)基準(zhun)(zhun)日起8個(ge)月(備(bei)案項(xiang)目為(wei)9個(ge)月)內,且相應經(jing)濟(ji)行為(wei)實(shi)(shi)際發生前,提出核(he)(he)準(zhun)(zhun)(備(bei)案)申(shen)請(qing)。

(六)加強(qiang)國(guo)有資產交易監管

市(shi)財政(zheng)局(ju)(ju)(國(guo)有資(zi)(zi)(zi)產(chan)監(jian)(jian)督(du)管理局(ju)(ju))負責審核(he)企業(ye)(ye)的(de)(de)(de)國(guo)有產(chan)權(quan)轉讓(rang)(rang)或增(zeng)(zeng)(zeng)資(zi)(zi)(zi)事項。其中(zhong),因國(guo)有產(chan)權(quan)轉讓(rang)(rang)或增(zeng)(zeng)(zeng)資(zi)(zi)(zi)致使國(guo)家不再(zai)擁有所出(chu)資(zi)(zi)(zi)企業(ye)(ye)控股權(quan)的(de)(de)(de),由市(shi)財政(zheng)局(ju)(ju)(國(guo)有資(zi)(zi)(zi)產(chan)監(jian)(jian)督(du)管理局(ju)(ju))報市(shi)政(zheng)府批準。企業(ye)(ye)決(jue)定其出(chu)資(zi)(zi)(zi)子公(gong)司(si)(si)的(de)(de)(de)產(chan)權(quan)轉讓(rang)(rang)或增(zeng)(zeng)(zeng)資(zi)(zi)(zi)事項。其中(zhong),對主(zhu)業(ye)(ye)處于關(guan)系民生(sheng)安全的(de)(de)(de)關(guan)鍵領域(yu),主(zhu)要承(cheng)擔重(zhong)大專項任(ren)務的(de)(de)(de)子公(gong)司(si)(si)的(de)(de)(de)產(chan)權(quan)轉讓(rang)(rang)或增(zeng)(zeng)(zeng)資(zi)(zi)(zi)事項,由企業(ye)(ye)報市(shi)財政(zheng)局(ju)(ju)(國(guo)有資(zi)(zi)(zi)產(chan)監(jian)(jian)督(du)管理局(ju)(ju))批準。

產(chan)(chan)權(quan)轉(zhuan)讓(rang)(rang)或(huo)增(zeng)資(zi)(zi)事(shi)項經批準后,由轉(zhuan)讓(rang)(rang)方(fang)或(huo)增(zeng)資(zi)(zi)企業(ye)(ye)按照公(gong)司章程和企業(ye)(ye)內部管(guan)理(li)制度進(jin)行決策,形成書面決議,并(bing)委托具有相(xiang)應資(zi)(zi)質的(de)中介(jie)機構開展審計和資(zi)(zi)產(chan)(chan)評估。屬于公(gong)開產(chan)(chan)權(quan)轉(zhuan)讓(rang)(rang)或(huo)增(zeng)資(zi)(zi)的(de),應依法(fa)按照有關(guan)規(gui)定,通過(guo)產(chan)(chan)權(quan)市(shi)場(chang)公(gong)開進(jin)行。符合規(gui)定條件的(de),經市(shi)財政局(國(guo)有資(zi)(zi)產(chan)(chan)監督管(guan)理(li)局)批準或(huo)企業(ye)(ye)審議決策,可以采取非公(gong)開協議方(fang)式進(jin)行產(chan)(chan)權(quan)轉(zhuan)讓(rang)(rang)或(huo)增(zeng)資(zi)(zi)。

(七)改革國有資本授權經營體制(zhi)

企業應(ying)依(yi)據發展戰略(lve)和規劃制定(ding)年度經營計(ji)劃、年度財務預

算方案(an)和(he)年(nian)度財務決算方案(an)等,市(shi)財政局(國(guo)(guo)有資(zi)(zi)產監督管理(li)局)加強(qiang)事(shi)后監督。對國(guo)(guo)有資(zi)(zi)本(ben)投資(zi)(zi)運營公司試點企(qi)業(ye)(ye)逐步建立健(jian)全(quan)國(guo)(guo)有資(zi)(zi)本(ben)授權(quan)(quan)(quan)機(ji)制(zhi),賦予國(guo)(guo)有資(zi)(zi)本(ben)投資(zi)(zi)運營公司戰略(lve)規(gui)劃和(he)主業(ye)(ye)管理(li)等授權(quan)(quan)(quan)放(fang)權(quan)(quan)(quan)內(nei)(nei)容(rong),并根據實際情(qing)況(kuang)適時增加其(qi)他方面授權(quan)(quan)(quan)放(fang)權(quan)(quan)(quan)內(nei)(nei)容(rong)。被授權(quan)(quan)(quan)企(qi)業(ye)(ye)要健(jian)全(quan)和(he)規(gui)范(fan)決策制(zhi)度,明確授權(quan)(quan)(quan)事(shi)項在企(qi)業(ye)(ye)內(nei)(nei)部的決策、執(zhi)行、監督機(ji)制(zhi),落實相應責任,嚴格責任追究。

(八)開展違(wei)規經(jing)營責任追究工作

按照相關(guan)法(fa)律(lv)(lv)法(fa)規,對企(qi)(qi)業經營管(guan)(guan)理(li)(li)有(you)(you)關(guan)人員違反法(fa)律(lv)(lv)法(fa)規、國有(you)(you)資(zi)(zi)產監管(guan)(guan)規章制(zhi)度和企(qi)(qi)業內部管(guan)(guan)理(li)(li)規定(ding),未履行(xing)或未正確(que)履行(xing)職(zhi)責(ze),造(zao)成國有(you)(you)資(zi)(zi)產損失或其(qi)他嚴重不(bu)良后果的,經調查核實(shi)和責(ze)任認定(ding),按照國有(you)(you)資(zi)(zi)本出資(zi)(zi)關(guan)系(xi)和干部管(guan)(guan)理(li)(li)權(quan)限(xian),對相關(guan)責(ze)任人進行(xing)責(ze)任追究。責(ze)任追究處(chu)(chu)理(li)(li)方式包括組織處(chu)(chu)理(li)(li)、扣減薪酬、禁入限(xian)制(zhi)、紀(ji)律(lv)(lv)處(chu)(chu)分、政務處(chu)(chu)分、移送國家(jia)監察機關(guan)或司法(fa)機關(guan)等,可以單獨使(shi)用,也可以合并使(shi)用。

三、完善企業法人治理結(jie)構

(九)加強黨委(支(zhi)委)會(hui)建設(she)

把加強黨(dang)(dang)(dang)的領導同完善法人(ren)治理(li)結(jie)構統一起來,充(chong)分發(fa)揮(hui)企業(ye)(ye)黨(dang)(dang)(dang)委(wei)(支(zhi)委(wei))會(hui)(hui)的領導核(he)心和政治核(he)心作(zuo)用(yong)。要發(fa)揮(hui)好企業(ye)(ye)黨(dang)(dang)(dang)委(wei)(支(zhi)委(wei))會(hui)(hui)把方向、管大局、保落(luo)實的作(zuo)用(yong),支(zhi)持(chi)董(dong)事會(hui)(hui)、監事會(hui)(hui)、經理(li)層依法履行(xing)職責(ze),保證市(shi)委(wei)、市(shi)政府決策(ce)部署(shu)貫(guan)徹落(luo)實。重大事項經黨(dang)(dang)(dang)組(zu)織(zhi)研究討論(lun)后,再提交董(dong)事會(hui)(hui)。

依據《中華人(ren)(ren)民共和國(guo)公(gong)司法》嚴格職(zhi)數管理,企業(ye)董(dong)事(shi)(shi)(shi)會(hui)(hui)和監(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)的(de)職(zhi)數由(you)公(gong)司章程規定。依據企業(ye)資產規模,董(dong)事(shi)(shi)(shi)會(hui)(hui)成(cheng)(cheng)員一般(ban)為3—7人(ren)(ren),經(jing)理層原則上(shang)控制(zhi)在5人(ren)(ren)以內,監(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)成(cheng)(cheng)員不(bu)得(de)少(shao)(shao)(shao)于(yu)5人(ren)(ren),其(qi)中職(zhi)工監(jian)(jian)事(shi)(shi)(shi)不(bu)少(shao)(shao)(shao)于(yu)三分之一。堅持和完善雙(shuang)向進入、交(jiao)叉(cha)(cha)任職(zhi)的(de)領(ling)導(dao)體制(zhi),黨委(wei)(wei)(wei)(支委(wei)(wei)(wei))會(hui)(hui)成(cheng)(cheng)員和董(dong)事(shi)(shi)(shi)會(hui)(hui)成(cheng)(cheng)員可以重合。推進企業(ye)決(jue)策層與執行層分開(kai),減少(shao)(shao)(shao)董(dong)事(shi)(shi)(shi)會(hui)(hui)和經(jing)理層成(cheng)(cheng)員之間交(jiao)叉(cha)(cha)任職(zhi),董(dong)事(shi)(shi)(shi)長(chang)、總經(jing)理原則上(shang)分設,除(chu)總經(jing)理、常務(wu)(wu)副(fu)(fu)總經(jing)理、分管財務(wu)(wu)副(fu)(fu)總經(jing)理(總會(hui)(hui)計師)外,其(qi)他(ta)經(jing)理層成(cheng)(cheng)員一般(ban)不(bu)進入黨委(wei)(wei)(wei)(支委(wei)(wei)(wei))會(hui)(hui)、董(dong)事(shi)(shi)(shi)會(hui)(hui)。

(十)加強董事會建設

國(guo)(guo)有(you)獨資(zi)公(gong)(gong)司的董(dong)(dong)事會(hui)(hui)成員(yuan)由市財(cai)政局(ju)(國(guo)(guo)有(you)資(zi)產(chan)(chan)監(jian)督(du)管(guan)(guan)理(li)局(ju))委派,董(dong)(dong)事長(chang)、副董(dong)(dong)事長(chang)由市財(cai)政局(ju)(國(guo)(guo)有(you)資(zi)產(chan)(chan)監(jian)督(du)管(guan)(guan)理(li)局(ju))從董(dong)(dong)事會(hui)(hui)成員(yuan)中(zhong)指定。國(guo)(guo)有(you)控股(gu)(gu)公(gong)(gong)司國(guo)(guo)有(you)股(gu)(gu)權董(dong)(dong)事和外(wai)部董(dong)(dong)事由市財(cai)政局(ju)(國(guo)(guo)有(you)資(zi)產(chan)(chan)監(jian)督(du)管(guan)(guan)理(li)局(ju))推薦,由股(gu)(gu)東(dong)(大(da))會(hui)(hui)選舉或更換。董(dong)(dong)事會(hui)(hui)成員(yuan)中(zhong)應(ying)當(dang)有(you)企(qi)業(ye)職(zhi)工代(dai)表(biao)。董(dong)(dong)事長(chang)作(zuo)為企(qi)業(ye)法定代(dai)表(biao)人,原則上(shang)兼任黨委(支(zhi)委)書(shu)記,對(dui)企(qi)業(ye)改(gai)革發展負首要責(ze)任,要及時(shi)向市財(cai)政局(ju)(國(guo)(guo)有(you)資(zi)產(chan)(chan)監(jian)督(du)管(guan)(guan)理(li)局(ju))、董(dong)(dong)事會(hui)(hui)、股(gu)(gu)東(dong)請示報(bao)告重大(da)經營問題(ti)和經營風險。規(gui)范董(dong)(dong)事會(hui)(hui)議事規(gui)則,董(dong)(dong)事會(hui)(hui)要嚴(yan)格實行集體審議、獨立表(biao)決、個(ge)人負責(ze)的決策制度,平(ping)等充分發表(biao)意見,一人一票(piao)表(biao)決。

(十一)加強監事會建設

(十二)加強(qiang)經理層建設

經理層(ceng)是企業的(de)(de)執行機構,依法由(you)董事(shi)會(hui)(hui)聘任(ren)或(huo)解聘,接受董事(shi)會(hui)(hui)管理和(he)監(jian)事(shi)會(hui)(hui)監(jian)督。要規(gui)(gui)范(fan)經理層(ceng)成員的(de)(de)選(xuan)聘程(cheng)序,按(an)照市場化(hua)(hua)選(xuan)聘、契(qi)約化(hua)(hua)管理、差異化(hua)(hua)薪酬、市場化(hua)(hua)退出的(de)(de)原(yuan)則,強化(hua)(hua)激勵機制(zhi)。健全和(he)規(gui)(gui)范(fan)經理層(ceng)授(shou)權管理制(zhi)度,通(tong)過(guo)公司章(zhang)程(cheng)準確(que)界定經理層(ceng)與董事(shi)會(hui)(hui)、黨(dang)委(支(zhi)委)會(hui)(hui)的(de)(de)權責邊界,保障經理層(ceng)充(chong)分履行職(zhi)權,并承擔相應責任(ren)。

(十三)嚴格落實任期制

企(qi)業領導人(ren)員(yuan)(yuan)(yuan)實(shi)行(xing)(xing)任期(qi)(qi)制(聘(pin)期(qi)(qi)制),任期(qi)(qi)(聘(pin)期(qi)(qi))屆(jie)滿,經(jing)市財政局(國(guo)有資產監督管理局)批準(zhun)的可以連任(續(xu)(xu)聘(pin)),重新辦理任職手續(xu)(xu)和(he)備案手續(xu)(xu)。黨委(wei)(支委(wei))任期(qi)(qi)按照《黨章(zhang)》有關規(gui)定(ding),董事(shi)會成員(yuan)(yuan)(yuan)、監事(shi)會成員(yuan)(yuan)(yuan)、經(jing)理層成員(yuan)(yuan)(yuan)每個任期(qi)(qi)(聘(pin)期(qi)(qi))為(wei)3年,屆(jie)中新進成員(yuan)(yuan)(yuan),不(bu)超(chao)過本屆(jie)整(zheng)體的任期(qi)(qi)(聘(pin)期(qi)(qi))。嚴格執行(xing)(xing)《中華人(ren)民共和(he)國(guo)公(gong)司法》《中國(guo)共產黨章(zhang)程(cheng)》和(he)公(gong)司章(zhang)程(cheng)等相關規(gui)定(ding),及時做好(hao)換屆(jie)工作。

(十四)加強(qiang)綜(zong)合考核結果的運用

依據年(nian)度(du)(du)綜合(he)考(kao)核(he)結(jie)(jie)果(guo)(guo),有針對性地加強領(ling)(ling)導(dao)(dao)班(ban)子(zi)建設,激勵約(yue)束領(ling)(ling)導(dao)(dao)干(gan)部。領(ling)(ling)導(dao)(dao)班(ban)子(zi)運行(xing)(xing)狀(zhuang)況不好(hao)、凝聚力戰斗力不強、不擔當(dang)不作為、干(gan)部群眾(zhong)意見較大的,應當(dang)調整(zheng)(zheng);領(ling)(ling)導(dao)(dao)班(ban)子(zi)年(nian)度(du)(du)考(kao)核(he)結(jie)(jie)果(guo)(guo)為一(yi)般等(deng)次(ci)(ci)的,應當(dang)責成其(qi)作出(chu)書(shu)面(mian)報告(gao),剖析(xi)原(yuan)因(yin)、進行(xing)(xing)整(zheng)(zheng)改;領(ling)(ling)導(dao)(dao)班(ban)子(zi)年(nian)度(du)(du)考(kao)核(he)結(jie)(jie)果(guo)(guo)為較差或者(zhe)連續兩年(nian)為一(yi)般等(deng)次(ci)(ci)的,應當(dang)對主要負(fu)責人和相關(guan)責任(ren)人進行(xing)(xing)調整(zheng)(zheng)。領(ling)(ling)導(dao)(dao)干(gan)部年(nian)度(du)(du)考(kao)核(he)結(jie)(jie)果(guo)(guo)為基本稱職(zhi)(zhi)(zhi)等(deng)次(ci)(ci)的,應當(dang)對其(qi)進行(xing)(xing)誡勉,限期改進;領(ling)(ling)導(dao)(dao)干(gan)部年(nian)度(du)(du)考(kao)核(he)結(jie)(jie)果(guo)(guo)為不稱職(zhi)(zhi)(zhi)等(deng)次(ci)(ci)的,按照規定解(jie)聘或免職(zhi)(zhi)(zhi)。

四、加強企業業績考核和薪(xin)酬管理

(十五)加(jia)強企業(ye)考核評價工作

對企(qi)業(ye)(ye)及(ji)(ji)負責人實(shi)行(xing)(xing)年(nian)度考(kao)(kao)(kao)核(he)(he)(he)和(he)任期考(kao)(kao)(kao)核(he)(he)(he)。突出業(ye)(ye)績(ji)(ji)導(dao)向,實(shi)行(xing)(xing)分類考(kao)(kao)(kao)核(he)(he)(he),將經(jing)營業(ye)(ye)績(ji)(ji)作(zuo)為考(kao)(kao)(kao)核(he)(he)(he)評價的主(zhu)(zhu)要(yao)依據。目標設置圍繞市(shi)委、市(shi)政府當年(nian)重點(dian)工作(zuo)進行(xing)(xing)。對政策性業(ye)(ye)務(wu)的考(kao)(kao)(kao)核(he)(he)(he)以定(ding)(ding)性考(kao)(kao)(kao)核(he)(he)(he)為主(zhu)(zhu),定(ding)(ding)量考(kao)(kao)(kao)核(he)(he)(he)為輔(fu),重點(dian)考(kao)(kao)(kao)核(he)(he)(he)企(qi)業(ye)(ye)在履(lv)行(xing)(xing)功能職責、戰略(lve)管(guan)理(li)(li)、企(qi)業(ye)(ye)治理(li)(li)、行(xing)(xing)業(ye)(ye)地(di)位和(he)貢獻度等方面的完(wan)成情況(kuang);對經(jing)營性業(ye)(ye)務(wu)的考(kao)(kao)(kao)核(he)(he)(he),以定(ding)(ding)量考(kao)(kao)(kao)核(he)(he)(he)為主(zhu)(zhu),定(ding)(ding)性考(kao)(kao)(kao)核(he)(he)(he)為輔(fu),主(zhu)(zhu)要(yao)考(kao)(kao)(kao)核(he)(he)(he)經(jing)營績(ji)(ji)效指標完(wan)成情況(kuang)。企(qi)業(ye)(ye)應按照(zhao)規定(ding)(ding)做好(hao)經(jing)營業(ye)(ye)績(ji)(ji)考(kao)(kao)(kao)核(he)(he)(he)目標實(shi)施和(he)考(kao)(kao)(kao)核(he)(he)(he)資(zi)料報送(song)工作(zuo),根據經(jing)營發展情況(kuang)和(he)經(jing)審(shen)計的財(cai)務(wu)決算(suan)數(shu)據,形成經(jing)營業(ye)(ye)績(ji)(ji)分析報告報送(song)市(shi)財(cai)政局(ju)(ju)(國有資(zi)產(chan)監督管(guan)理(li)(li)局(ju)(ju)),市(shi)財(cai)政局(ju)(ju)(國有資(zi)產(chan)監督管(guan)理(li)(li)局(ju)(ju))組(zu)織實(shi)施企(qi)業(ye)(ye)及(ji)(ji)負責人的經(jing)營業(ye)(ye)績(ji)(ji)考(kao)(kao)(kao)核(he)(he)(he)。企(qi)業(ye)(ye)董事會或股東(dong)(大)會應制定(ding)(ding)、完(wan)善企(qi)業(ye)(ye)內部的經(jing)營業(ye)(ye)績(ji)(ji)考(kao)(kao)(kao)核(he)(he)(he)辦法,對經(jing)理(li)(li)層的經(jing)營業(ye)(ye)績(ji)(ji)進行(xing)(xing)考(kao)(kao)(kao)核(he)(he)(he),報市(shi)財(cai)政局(ju)(ju)(國有資(zi)產(chan)監督管(guan)理(li)(li)局(ju)(ju))備(bei)案(an)。

(十六)加強企業負責人薪酬管理

進一步完善企(qi)業(ye)薪(xin)酬管理制度,制定企(qi)業(ye)負責(ze)人年(nian)度和任期薪(xin)酬方案。不斷創新企(qi)業(ye)薪(xin)酬分配制度,依據各(ge)企(qi)業(ye)的(de)規模(mo)、信用等級、承擔的(de)工作職(zhi)責(ze)等,以資產總(zong)額100億(yi)、300億(yi)、500億(yi)為(wei)(wei)(wei)界,分檔(dang)擬定新的(de)薪(xin)酬體系,同時將董事長及總(zong)經(jing)理分為(wei)(wei)(wei)第(di)一檔(dang),副(fu)董事長、常務(wu)副(fu)總(zong)經(jing)理等分為(wei)(wei)(wei)第(di)二檔(dang),副(fu)總(zong)經(jing)理等分為(wei)(wei)(wei)第(di)三檔(dang)。

(十七)加強工資總額預算管理

推(tui)行(xing)市場化選聘(pin)模式,主要通過(guo)“逢進必考”嚴格控制(zhi)企(qi)(qi)業(ye)(ye)(ye)的(de)用人(ren)標(biao)準;鼓勵從行(xing)政單位(wei)、財政全供事業(ye)(ye)(ye)單位(wei)中選調優秀人(ren)才(cai)到(dao)企(qi)(qi)業(ye)(ye)(ye)中擔任相應(ying)(ying)職務,在保證人(ren)才(cai)隊伍穩定的(de)前提下優化隊伍結(jie)構(gou)。企(qi)(qi)業(ye)(ye)(ye)根據改革國有(you)企(qi)(qi)業(ye)(ye)(ye)工(gong)(gong)資(zi)(zi)(zi)(zi)決定機制(zhi)有(you)關規(gui)定,合(he)理(li)編(bian)制(zhi)年度工(gong)(gong)資(zi)(zi)(zi)(zi)總(zong)(zong)額預算,報市財政局(ju)(國有(you)資(zi)(zi)(zi)(zi)產監督管理(li)局(ju))核準或(huo)備案(an)。積極探索實行(xing)更(geng)加靈(ling)活(huo)高效的(de)工(gong)(gong)資(zi)(zi)(zi)(zi)總(zong)(zong)額管理(li)方式,通過(guo)控制(zhi)工(gong)(gong)資(zi)(zi)(zi)(zi)總(zong)(zong)額,達到(dao)控機構(gou)、控人(ren)員的(de)目的(de)。企(qi)(qi)業(ye)(ye)(ye)在經核準或(huo)備案(an)的(de)工(gong)(gong)資(zi)(zi)(zi)(zi)總(zong)(zong)額預算內,依法(fa)依規(gui)自(zi)主決定內部工(gong)(gong)資(zi)(zi)(zi)(zi)分配。企(qi)(qi)業(ye)(ye)(ye)應(ying)(ying)合(he)理(li)確定總(zong)(zong)部工(gong)(gong)資(zi)(zi)(zi)(zi)總(zong)(zong)額預算,總(zong)(zong)部職工(gong)(gong)平均工(gong)(gong)資(zi)(zi)(zi)(zi)增長(chang)幅度原則上應(ying)(ying)低于本企(qi)(qi)業(ye)(ye)(ye)全體職工(gong)(gong)平均工(gong)(gong)資(zi)(zi)(zi)(zi)增長(chang)幅度。鼓勵企(qi)(qi)業(ye)(ye)(ye)建立企(qi)(qi)業(ye)(ye)(ye)年金制(zhi)度。

(十八(ba))規范企(qi)業(ye)負責人履職待(dai)遇(yu)和業(ye)務支出等管理

對企(qi)(qi)業負責人履職待遇(yu)、業務支(zhi)出等(deng)實(shi)施預算(suan)管理,按照年度(du)、項目(mu)、人員編制預算(suan)。相關預算(suan)應與企(qi)(qi)業當年生(sheng)產(chan)經營(ying)實(shi)際需要(yao)相匹配,與企(qi)(qi)業年度(du)財務預算(suan)相銜接,履行內部決策程序后,報市財政局(國有資產(chan)監督管理局)備案。

五、加(jia)強企業風險防控

(十九)加(jia)強投資管理(li)

根(gen)據公司章程確定的(de)戰略(lve)規(gui)劃,強(qiang)(qiang)化(hua)主業(ye)(ye)管(guan)理,監(jian)(jian)控(kong)非主業(ye)(ye)投(tou)(tou)資(zi)(zi)。企(qi)業(ye)(ye)應建立健全投(tou)(tou)資(zi)(zi)管(guan)理制(zhi)度,嚴格投(tou)(tou)資(zi)(zi)決策程序,強(qiang)(qiang)化(hua)投(tou)(tou)資(zi)(zi)行為的(de)全程監(jian)(jian)管(guan),提高(gao)投(tou)(tou)資(zi)(zi)效益,落實企(qi)業(ye)(ye)投(tou)(tou)資(zi)(zi)主體責任,強(qiang)(qiang)化(hua)責任意識,防止(zhi)重大違規(gui)投(tou)(tou)資(zi)(zi)。

(二十)加(jia)強資產負債(zhai)約束管理

市(shi)(shi)財(cai)政(zheng)局(國有(you)資(zi)產監(jian)督(du)管理局)代表(biao)市(shi)(shi)政(zheng)府以出資(zi)額為(wei)限承擔有(you)限責任,企業要按(an)照市(shi)(shi)場(chang)化(hua)原(yuan)則轉型(xing)和參(can)與市(shi)(shi)場(chang)競爭,依法(fa)獨(du)立自主開展生(sheng)產經營活動,不得違規增加(jia)政(zheng)府債(zhai)務(wu)(wu)或隱性債(zhai)務(wu)(wu)。

認真落實國有企(qi)業資(zi)產(chan)(chan)負債約束的(de)政策(ce)和(he)要求,嚴格資(zi)產(chan)(chan)負債管理(li)。積極盤活存(cun)量(liang)資(zi)產(chan)(chan),不斷提高資(zi)產(chan)(chan)質(zhi)量(liang),優(you)化資(zi)產(chan)(chan)結(jie)(jie)構(gou)。做好負債動(dong)態管理(li),控制負債規模,優(you)化負債結(jie)(jie)構(gou),降低融資(zi)成本。

分(fen)類管理(li)和動態調整資(zi)(zi)產(chan)負(fu)(fu)債(zhai)率約(yue)束(shu)指(zhi)標(biao)(biao),原(yuan)則上(shang)以本行(xing)業(ye)資(zi)(zi)產(chan)負(fu)(fu)債(zhai)率基準(zhun)線加(jia)5個(ge)(ge)百分(fen)點為預警線,加(jia)10個(ge)(ge)百分(fen)點為重點監(jian)管線。超過上(shang)述資(zi)(zi)產(chan)負(fu)(fu)債(zhai)率控制線的(de)企業(ye),應確定年(nian)(nian)度資(zi)(zi)產(chan)負(fu)(fu)債(zhai)率下(xia)降目標(biao)(biao),未完成年(nian)(nian)度資(zi)(zi)產(chan)負(fu)(fu)債(zhai)率下(xia)降序(xu)時進(jin)度或超過重點監(jian)管線的(de),嚴格控制新增債(zhai)務融(rong)資(zi)(zi)。在(zai)年(nian)(nian)度董事會(hui)或股(gu)東(大)會(hui)議(yi)案中,要就資(zi)(zi)產(chan)負(fu)(fu)債(zhai)狀況及未來資(zi)(zi)產(chan)負(fu)(fu)債(zhai)計(ji)(ji)劃(hua)進(jin)行(xing)專項說明,并按照規范的(de)公司(si)治理(li)程序(xu),提(ti)交董事會(hui)或股(gu)東(大)會(hui)審議(yi)。企業(ye)預計(ji)(ji)出(chu)現兌付風險的(de),應提(ti)前2個(ge)(ge)月以上(shang)向(xiang)市(shi)財(cai)政局(ju)(國有資(zi)(zi)產(chan)監(jian)督管理(li)局(ju))報告。

(二十(shi)一(yi))嚴格擔保和對外借款管理

企業(ye)及其子公司累計(ji)擔(dan)(dan)保(bao)(bao)(bao)(bao)總額原則(ze)(ze)上不得(de)超(chao)(chao)過(guo)企業(ye)凈資(zi)產的(de)(de)50%,為單個(ge)被擔(dan)(dan)保(bao)(bao)(bao)(bao)人提供的(de)(de)累計(ji)擔(dan)(dan)保(bao)(bao)(bao)(bao)總額原則(ze)(ze)上不得(de)超(chao)(chao)過(guo)本企業(ye)凈資(zi)產的(de)(de)20%。原則(ze)(ze)上不得(de)為市屬企業(ye)之外(wai)的(de)(de)其他國有企業(ye)提供擔(dan)(dan)保(bao)(bao)(bao)(bao),嚴(yan)禁為非(fei)國有企業(ye)和個(ge)人提供擔(dan)(dan)保(bao)(bao)(bao)(bao),及時(shi)糾正(zheng)超(chao)(chao)范圍(wei)、超(chao)(chao)比(bi)例、超(chao)(chao)限額等違規(gui)行為,積極采取措施(shi)隔離風(feng)險企業(ye)和資(zi)產,嚴(yan)查違規(gui)擔(dan)(dan)保(bao)(bao)(bao)(bao)相關責任人,切實防范擔(dan)(dan)保(bao)(bao)(bao)(bao)風(feng)險。從嚴(yan)控(kong)制企業(ye)對(dui)外(wai)借款,原則(ze)(ze)上不得(de)向無(wu)產權關系和實際控(kong)制權的(de)(de)企業(ye)提供借款。

根據相關(guan)政策,對(dui)企業(ye)債(zhai)券(quan)(quan)(quan)的(de)發行主(zhu)體、受托人、擔保方式以及發行金(jin)額(e)、利率(lv)、期限等(deng)條件進(jin)行嚴格審查,把好發債(zhai)關(guan)口。企業(ye)應健(jian)全內控體系,合理(li)(li)安(an)排長短期債(zhai)券(quan)(quan)(quan)比(bi)重(zhong),統(tong)籌平衡(heng)資(zi)金(jin)余額(e)和(he)融資(zi)規(gui)模,優化融資(zi)結構,加強債(zhai)券(quan)(quan)(quan)管(guan)理(li)(li)和(he)債(zhai)務風(feng)險管(guan)控,加快資(zi)金(jin)周轉,提(ti)高(gao)資(zi)金(jin)使用效率(lv)。董事會或股東(大)會應對(dui)大額(e)度資(zi)金(jin)使用、調配情(qing)況進(jin)行決議。同時,建立債(zhai)券(quan)(quan)(quan)存續期間年(nian)度報告制(zhi)度,企業(ye)應于年(nian)度終(zhong)了后1個月內將本企業(ye)債(zhai)券(quan)(quan)(quan)情(qing)況(資(zi)金(jin)使用、付息、投資(zi)項目、兌付資(zi)金(jin)籌資(zi)渠道等(deng)情(qing)況),向市(shi)財政局(國有(you)資(zi)產(chan)監督管(guan)理(li)(li)局)作出書(shu)面報告。發生可(ke)能影響債(zhai)券(quan)(quan)(quan)持有(you)人實現其債(zhai)權(quan)的(de)重(zhong)大事項時,企業(ye)應及時向市(shi)財政局(國有(you)資(zi)產(chan)監督管(guan)理(li)(li)局)報告。

六、切(qie)實加強黨(dang)對企業的全面領(ling)導

(二十三(san))強化黨建工作

市財政(zheng)局(ju)(國(guo)有資(zi)產監督(du)管理(li)局(ju))對企業(ye)(ye)黨建工(gong)(gong)作進行領導(dao)、指導(dao)和督(du)導(dao)。企業(ye)(ye)黨組(zu)織(zhi)(zhi)要(yao)認真落實黨中(zhong)央、省委(wei)、市委(wei)在黨的領導(dao)、黨的建設方(fang)面的規定和要(yao)求(qiu),加(jia)強企業(ye)(ye)基(ji)層黨組(zu)織(zhi)(zhi)制度建設和黨員(yuan)教育管理(li)工(gong)(gong)作。企業(ye)(ye)要(yao)貫(guan)徹“兩個一(yi)以(yi)貫(guan)之”要(yao)求(qiu),堅決(jue)落實管黨治黨主體(ti)責任,積極配合理(li)順(shun)企業(ye)(ye)黨組(zu)織(zhi)(zhi)隸(li)屬關(guan)系,按時完成(cheng)黨組(zu)織(zhi)(zhi)換屆工(gong)(gong)作,嚴(yan)肅(su)黨內政(zheng)治生活。加(jia)強企業(ye)(ye)工(gong)(gong)青(qing)婦等群團組(zu)織(zhi)(zhi)管理(li)。
